https://app.bookedvenue.com/ (the "Sites"). The Sites are comprised of various web pages operated by BookedVenue ("BookedVenue"). The Sites, including all services and functionalities offered therein, are provided to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the "Terms").

Your use of the Sites, including opting into any of our funnels or our clients' funnels, constitutes your agreement to all such Terms. All content included as part of the Service, such as text, graphics, logos, images, as well as the compilation thereof, and any software used on the Sites, is the property of BookedVenue or its suppliers and protected by copyright and other laws that protect intellectual property and proprietary rights. You agree to observe and abide by all copyright and other proprietary notices, legends or other restrictions contained in any such content and will not make any changes thereto.

You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found on the Sites. BookedVenue content is not for resale. Your use of the Sites does not entitle you to make any unauthorized use of any protected content, and in particular, you will not delete or alter any proprietary rights or attribution notices in any content. You will use protected content solely for your personal use and will make no other use of the content without the express written permission of BookedVenue and the copyright owner. Intellectual Property and Termination

Upon termination of your access to the Sites, it is expressly agreed that all intellectual property provided by BookedVenue shall remain the exclusive property of BookedVenue. This includes, but is not limited to, all advertisements, advertising campaigns, sales systems functions, automated messages, marketing materials, and any other related content or strategies developed or provided by BookedVenue.

Unauthorized Use: You acknowledge and agree that any unauthorized use, reproduction, distribution, or disclosure of BookedVenue's intellectual property, in whole or in part, is strictly prohibited. This includes the transfer, replication, or implementation of these materials and strategies to any other platform, system, or third party.

Return and Deletion of Materials: Upon termination, you agree to return all physical and digital copies of BookedVenue's intellectual property and to permanently delete any electronic copies from your systems. You shall provide written confirmation of such deletion upon request.

Confidentiality: You agree to maintain the confidentiality of all intellectual property and proprietary information provided by BookedVenue and to take all necessary steps to prevent its unauthorized use or disclosure.

Non-Replication and Distribution: You agree not to replicate, mimic, or otherwise use BookedVenue's marketing materials, advertisements, advertising copy, marketing automations, SMS and email messaging, system training materials, sales training materials, or any other content or strategies developed by BookedVenue, whether for your own use or for the use of third parties. Furthermore, you agree not to provide any of BookedVenue's system training materials or sales training materials to any third party.

Legal Action: BookedVenue reserves the right to take legal action against you or any third party found to be in violation of these intellectual property protections, seeking remedies available under applicable laws, including damages, injunctive relief, and legal fees.

BookedVenue does not promise, guarantee, or warrant your business’ success, income, or sales. You understand and acknowledge that BookedVenue will not at any time provide sales leads or referrals to you or your business. Those businesses who purchase our products or services will receive access to software and tools to create Internet sales funnels and otherwise assist with their respective online offerings. However, we do not guarantee your business’ success and based upon many market factors that we cannot control, the software and tools we provide may or may not be applicable to your specific business. Further, we do not make earnings claims, efforts claims, return on investment claims, or claims that our software, tools, or other offerings will make your business any specific amount of money, and it is possible that you will not earn your investment back. We do not sell a business opportunity, “get rich quick” program, guaranteed system, franchise system, or a business in a box. You should not purchase our products or services if that is your expectation. You agree to notify BookedVenue if any investigation or lawsuit is threatened or filed against you, whereupon BookedVenue shall have the right to terminate this Agreement without liability. BookedVenue shall have no liability for your violation of any laws. You are solely and exclusively responsible for collecting and reporting any and all sales and use tax, and any other taxes, which may apply to sales of products or services by your business. BookedVenue shall not be responsible to collect or report any taxes which may apply to your business or sales of products or services by your business.

International Users

The Service is controlled, operated, and administered by BookedVenue from our offices within the USA. If you access the Service from a location outside the USA, you are responsible for compliance with all local laws. You agree that you will not use the BookedVenue Content accessed through the Sites in any country or in any manner prohibited by any applicable laws, restrictions, or regulations.

Indemnification

You agree to indemnify, defend and hold harmless BookedVenue, its officers, directors, employees, agents, and third parties, for any losses, costs, liabilities, and expenses (including reasonable attorney's fees) relating to or arising out of your use of or inability to use the Sites or services, any user postings made by you, your
